1. Acceptance of Terms

By accessing or using GnetSmart (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App. These Terms constitute a legally binding agreement between you and GnetSmart, operating in the United Arab Emirates.

2. Description of Service

GnetSmart is a custom Customer Relationship Management (CRM) application designed to help businesses manage customer interactions, track leads, and organize business operations. The App is provided as a software service for authorized users only.

3. User Eligibility

You must be at least 18 years of age to use this App. By using GnetSmart, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts and Access

4.1 Account Creation

Access to GnetSmart is granted by authorized administrators within your organization. You are responsible for maintaining the confidentiality of your login credentials.

4.2 Account Security

You agree to:

Keep your password secure and confidential.
Notify us immediately of any unauthorized access to your account.
Accept responsibility for all activities that occur under your account.
Not share your account credentials with others.

4.3 Account Termination

We reserve the right to suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our sole discretion.

5. User-Generated Content

5.1 Content Ownership

You retain ownership of any content you create, upload, or store in the App, including but not limited to customer data, notes, documents, and records ("User Content").

5.2 License Grant

By uploading User Content to GnetSmart, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing the App's services to you.

5.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

You own or have the necessary rights to all User Content you upload.
Your User Content does not violate any third-party rights.
Your User Content does not contain illegal, harmful, or offensive material.
Your User Content complies with all applicable laws and regulations.

5.4 Prohibited Content

You agree not to upload, post, or transmit any content that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
Infringes on intellectual property rights or other proprietary rights.
Contains viruses, malware, or other harmful code.
Violates any applicable laws or regulations of the United Arab Emirates or any other jurisdiction.

5.5 Content Removal

We reserve the right to review, monitor, and remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

6. Acceptable Use Policy

You agree to use GnetSmart only for lawful purposes and in accordance with these Terms. You agree not to:

Use the App in any way that violates applicable laws or regulations.
Attempt to gain unauthorized access to the App or its systems.
Interfere with or disrupt the App's functionality or servers.
Use automated systems or software to extract data from the App without permission.
Reverse engineer, decompile, or disassemble any part of the App.
Use the App to transmit spam, chain letters, or unsolicited communications.
Impersonate another person or entity.
Engage in any activity that could harm or damage the App or other users.

7. Intellectual Property Rights

7.1 App Ownership

GnetSmart, including its design, features, functionality, source code, and all related intellectual property rights, is owned by us and is protected by UAE and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your internal business purposes, subject to these Terms.

7.3 Trademarks

GnetSmart and any associated logos are our trademarks. You may not use these trademarks without our prior written consent.

8. Data and Privacy

While GnetSmart does not actively collect personal user data for marketing or analytics purposes, the App processes business and customer information that you input. You are responsible for ensuring that your use of the App complies with all applicable data protection laws, including UAE data protection regulations. Any data you input into the App is treated as your confidential business information and is handled in accordance with industry-standard security practices.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the App will be uninterrupted, error-free, or secure.
Warranties regarding the accuracy, reliability, or completeness of any content.

You use the App at your own risk. We do not warrant that the App will meet your specific requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, IN NO EVENT SHALL GNETSMART, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, data, or use.
Business interruption or loss of business opportunities.
Damages arising from your use or inability to use the App.

Our total liability for any claims arising from or related to these Terms or the App shall not exceed the amount you paid to us in the 12 months preceding the claim, or AED 1,000, whichever is less. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless GnetSmart and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the App.
Your violation of these Terms.
Your violation of any rights of another party.
Your User Content.

12. Modifications to the App and Terms

12.1 App Modifications

We reserve the right to modify, suspend, or discontinue the App or any features at any time without prior notice. We shall not be liable to you or any third party for any such modifications, suspensions, or discontinuations.

12.2 Terms Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the App or by other reasonable means. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the App, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, either party may pursue resolution through the appropriate courts in the United Arab Emirates.

15. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, fraudulent activity, or for business/legal reasons. Upon termination, your right to use the App will cease.
